1. About the Website

Welcome to dappleos.com (“the Website”). This Website provides access to the Dapple and DappleOS software-as-a-service platform (“Services”).

Use of the Website and associated Services is subject to these Terms and Conditions (“Terms”). By accessing or using the Website, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must cease use of the Website and Services immediately.

DappleCRM Pty Ltd may update these Terms at its sole discretion. Updated Terms take effect upon publication. Please keep a copy for your records.

2. Acceptance of Terms

By remaining on the Website, or by clicking to accept (where this option is presented), you agree to these Terms.

3. About the Service

Dapple™ and DappleOS™ offer software-as-a-service for medical and telehealth businesses, including various subscription tiers (DappleLite, DapplePRO, Dapple Enterprise). Account features may evolve over time and be subject to additional account-specific terms, which must be accepted before activation.

Where applicable, a separate Software Licensing Agreement may amend or override these Terms.

4. Acceptable Use

Use of the Services must comply with lawful and ethical standards. You must not:

  • Interfere with system integrity (e.g. reverse-engineering, tampering, or overloading servers)
  • Violate any applicable law, including privacy and data laws
  • Harass, defraud, or impersonate other users
  • Access Services beyond authorised interfaces
  • Upload or share prohibited content
  • Infringe intellectual property rights

5. Security and Data Privacy

DappleOS™ implements industry-standard security measures (e.g. encryption, access control, audits) to protect user data, but cannot guarantee absolute security. Use of the Website and Services is subject to the Privacy Policy.

6. Data Use

DappleOS™ collects and processes data to deliver services and operate its business. The Privacy Policy explains how your data is collected, stored, and used, including processes for encryption and data removal.

7. Subscriptions

To access Services, you must:

  • Purchase a subscription via the Website and pay the relevant subscription fee
  • Complete registration, including accurate personal details
  • Meet legal age and eligibility requirements

Subscriptions begin upon registration and continue for the defined Subscription Period. Subscription fees may change with 30 days’ notice. If you disagree, you may cancel before changes take effect.

8. Payments

Payments may be made using the Website’s supported methods, which may include third-party processors. DappleOS™ is not liable for issues arising from third-party providers.

You are responsible for any fees associated with failed payments. Subscription fees may be varied at DappleOS™’ discretion for subsequent periods.

9. Refund Policy

Refunds are granted in line with the Australian Consumer Law and at DappleOS’ discretion. If DappleOS™ can no longer provide Services or deems a refund reasonable, it will refund the unused portion of your subscription.

10. Intellectual Property

All content on the Website and within the Services is the property of DappleCRM Pty Ltd and protected by copyright and trademark law.

You may:

  • Use the Website under these Terms
  • Store and print content for personal, non-commercial use

You may not:

  • Reproduce, distribute, or display content publicly without written permission
  • Claim ownership or use DappleOS™ IP for commercial purposes

11. General Disclaimer

To the extent permitted by law:

  • DappleOS™ excludes all implied warranties
  • Services are provided “as is” without guarantees
  • DappleOS™ is not liable for system issues, loss of data, inaccuracies, or third-party content
  • You use the Website and Services at your own risk

12. Limitation of Liability

DappleOS™’ liability is limited to resupply of the Service. It shall not be liable for indirect, incidental, or consequential damages (e.g. loss of profit, reputation, data).

13. Termination

You may terminate your subscription by:

  • Not renewing it
  • Providing 30 days’ notice and closing your account

DappleOS™ may terminate your access if:

  • You breach the Terms
  • Required by law
  • Service provision is no longer viable
  • Your actions harm DappleOS™’ reputation

14. Indemnity

You agree to indemnify DappleOS™ against:

  • Loss or damage arising from your content
  • Misuse of the Website
  • Breach of these Terms

15. Dispute Resolution

Prior to initiating legal action, parties must attempt to resolve disputes by:

  • Providing written notice
  • Participating in good-faith negotiation within 28 days
  • Engaging a mediator (e.g. via the Australian Mediation Association)

Mediation will be held in Brisbane, Australia. If unresolved after two months, either party may terminate the mediation.
